Model 231
Like its parent company ADR S.p.A., in addition to adopting Mundys' Code of Ethics and Anti-Corruption Policy, ADR Assistance has also adopted its own Organisational, Management and Control Model (Model) to regulate the proper conduct of its activities, in compliance with the requirements of Italian Legislative Decree 231/2001, which defines a structured system of rules and controls to which all its recipients are required to comply with in order to pursue the corporate purpose in full compliance with current legal provisions.
The Model, which is constantly updated in light of regulatory changes, consists of a “general part” that describes the guiding principles and operating procedures followed for its preparation and updating, regulates the requirements, functions and powers of the Supervisory Body established, as well as the characteristics of the reporting and information flow system, the sanctioning system and the methods of disseminating the Model within the Company and to third parties.
At the same time, the Model includes special parts – documents for internal use – based on company processes, where protocols, control measures and principles of conduct deemed appropriate for regulating sensitive processes and activities identified as posing a potential risk of commission of criminal offences and administrative offences under Legislative Decree 231/2001 are summerised.
The Organisational Model is disseminated within the Company and – through this web page and specific contractual mechanisms – is brought to the attention of all third parties who enter into relations with ADR Assistance.
Supervisory Body
The Supervisory Body is the body entrusted, pursuant to Article 6 of Legislative Decree 231/2001, with the task of “supervising the functioning, observance and effectiveness of the Model and ensuring its updating”. The Supervisory Body must be informed of all circumstances relevant to compliance with and functioning of the Model, as well as any unlawful conduct or violations of the Model.

In line with current legislation on reporting violations in the private sector (known as whistleblowing), ADR Assistance provides an IT platform, accessible to all (employees, third parties, etc.) where a written or oral Report may be submitted.
According to L.D. 24/2023, oral reports may also be made through a direct contact with the Whistleblowing Team or one or more of its members, at the request of the whistleblower. Such request can be submitted via the platform or addressed to one of the Whistleblowing Team members.
Reports can also be made orally by calling the voice mailbox on +39 0281480081, entering the code 4289 to identify ADR Group and following the instructions of the voicemail.
The confidentiality of reports is secured by tone and voice distortion systems.
Although anonymous whistleblowings are a feasible alternative, whistleblowers are encouraged to prefer nominative whistleblowings for the benefit of the speed and effectiveness of investigations, with confidentiality protections guaranteed as per the Whistleblowing Policy.
The platform allows users to select the ADR Group company to which they believe the report relates, if known.
