Model 231

Like the Parent Company ADR SpA, in addition to having adopted the Code of Ethics and the Anti-Corruption Policy of the Atlantia Group, ADR Assistance, to regulate the correct performance of activities, has also adopted its own Organization, Management and Control Model (Model) adhering to to the requirements of Legislative Decree 231/2001 and developed on the respective legal subjectivities and operational specificities.

The Model, constantly updated in light of the regulatory changes that have taken place, was most recently revised in 2019 taking into consideration the evolution of the reference best practices and the jurisprudential changes regarding the liability of entities.

The Model describes the inspiring principles and operating methods followed for its preparation and updating, regulates the requirements, functions and powers of the Supervisory Body, as well as the characteristics of the reporting system and information flows, the sanctioning system and the methods of dissemination of the Model itself within ADR Assistance and towards third parties.

The document describes the set of control and conduct principles deemed suitable for governing the processes for which a potential risk of commission of the relevant administrative offenses and offenses has been identified pursuant to Legislative Decree 231 / 2001.

The Organizational Model has been disclosed to the Company's personnel, and is brought to the attention of all third parties who undertake business relationships with ADR Assistance.


Supervisory body

The Supervisory Body (SB) is the body to which it is entrusted, pursuant to art. 6 of Legislative Decree 231/2001, the task of "supervising the functioning, compliance, effectiveness of the Model and updating it".

The circumstances relevant to compliance and operation of the Model as well as any illegal conduct or violations of the Model must be reported to the Supervisory Body, ensuring that the reports are substantiated and based on precise and consistent factual elements.

Each report received is managed by the Supervisory Body, in accordance with the provisions of art. 6 of Legislative Decree 231/2001, guaranteeing the confidentiality of the identity of the whistleblower and its protection from any form of retaliation, discrimination or prejudice connected, directly or indirectly, to the report.

The Company provides alternative channels (WEB platform, e-mail address and postal address) for the transmission of reports. In particular, reports can be made:

- through the “Whistleblowing” IT platform, accessible from the website www.adr.it and through the company intranet;

- by e-mail, to the following e-mail address: organismodivigilanza@adrassistance.it

- by post for the attention of: ADR Assistance Supervisory Body - Via Pier Paolo Racchetti 1, 00054 Fiumicino - Rome.
